Mutual Confidentiality Agreement

The User and Company may exchange information through the LegalBridge AI platform — including questions, uploaded documents, drafts, AI conversations, and personal details — in order for the User to organize information and prepare informational documents. Both parties agree to keep that information confidential as described below.

"Confidential Information" means any non-public information disclosed by one party to the other through the platform, including (a) the User's personal data, conversations, uploads, and drafts, and (b) Company materials such as templates, prompts, system designs, and pricing not publicly disclosed.

The Company shall (a) treat User Confidential Information as private; (b) restrict internal access to personnel with a legitimate operational need; (c) use commercially reasonable technical and organizational safeguards (encryption in transit and at rest, access controls, audit logging); (d) not sell User Confidential Information; and (e) not disclose User Confidential Information to third parties except (i) sub-processors bound by equivalent confidentiality obligations, (ii) as required by law, court order, or valid legal process, or (iii) with the User's consent.

The User shall not disclose, reverse-engineer, or redistribute Company Confidential Information, and shall not use the platform to disclose third-party confidential information that the User has no right to share.

The Company is not a law firm and does not provide legal advice. Nothing shared through the platform creates an attorney-client relationship or attorney-client privilege. This Agreement is a contractual confidentiality commitment only.

The User authorizes the Company to process User content solely to (a) operate and improve the platform for that User, (b) generate AI responses and prepare informational documents, (c) maintain security and prevent abuse, and (d) comply with law. Aggregated or de-identified data that cannot reasonably be linked back to the User may be used for analytics and service improvement.

This Agreement begins on account creation and continues for as long as the User holds an account, plus three (3) years after account closure. Confidentiality obligations for information that is a trade secret survive for as long as that information remains a trade secret under applicable law.

Confidential Information does not include information that (a) is or becomes publicly available through no breach of this Agreement, (b) was lawfully known to the receiving party before disclosure, (c) is independently developed without use of the Confidential Information, or (d) is lawfully received from a third party without confidentiality obligations.

The User may at any time request export or deletion of their account data from the Account page. The Company will respond within a reasonable time, subject to retention obligations under law or active legal process.

Each party acknowledges that unauthorized disclosure of Confidential Information may cause irreparable harm for which monetary damages would be inadequate, and the harmed party may seek injunctive relief in addition to any other remedies available at law.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, or punitive damages arising from this Agreement. The Company's total liability under this Agreement is limited to the fees the User has paid the Company in the twelve (12) months preceding the claim.

This Agreement is governed by the laws of the United States and the state in which Sovereign Holdings, LLC is registered, without regard to conflict-of-law rules. Disputes will be resolved by binding arbitration as described in the Terms of Service.

By creating an account, the User acknowledges that they have read, understood, and agreed to this Mutual Confidentiality Agreement. A record of acceptance — including timestamp, version, and user-agent — is retained as the executed counterpart of this Agreement.
